Microsoft will integrate ZeniMax under the new company Vault -apkrig

Although Microsoft announced the purchase of ZeniMax along with all associated development studies last September, the acquisition is not yet complete. The $ 7.5 billion trade is currently being pursued by the European Union, which is examining whether everything is in line with merger regulations and rules, which the European Commission will comment on in the coming days. However, the new documentary reveals that ZeniMax will be incorporated under the newly formed Vault subsidiary, which in turn has fueled debate in the ranks of gamers and gaming media. Unfortunately, there are a number of inaccurate interpretations and false claims that ZeniMax is being renamed. No, you will continue to come across the name of the famous publisher and the names of the studios, and the Microsoft procedure is completely standard.

For example, as the discussants on the Reseter portal explain, the establishment of a new subsidiary in the acquisition of a larger entity is common practice that protects the buyer from any liabilities of the acquired company. This step is also important to simplify the entire transaction, which does not have to be linked to the many free ends of the parent company, when only a single corporate entity deals with the acquisition. These can be, for example, various licenses or publishing rights, which are solved only once and not individually for partial parts of the purchased company. Its view is the inclusion in the newly established subsidiary, which is wholly owned by Microsoft, a guarantee of treatment as a branch, not a direct part of the parent company, which is also an important factor influencing the public position. It is not for nothing that during any major transaction it is constantly emphasized that the entity purchased will continue to operate independently and independently, which may not be true as a result if we talk about the workload, but in this way considerable independence is achieved at least within the company.

However, the result will be a unified portfolio of games, which will be taken care of by one marketing department, or other parts of Microsoft dealing with, for example, Game Pass, xCloud or the general development of the Xbox brand.

It is also important to note that ZeniMax is not directly integrated into the Xbox Game Studios family, so the Bethesda publishing branch will operate independently. Of course, resources and know-how may be shared with other studies, but the contracts will be two units operating independently. However, the result will be a unified portfolio of games, which will be taken care of by one marketing department, or other parts of Microsoft dealing with, for example, Game Pass, xCloud or the general development of the Xbox brand. It is also interesting that the transfer of ZeniMax to Vault comes with a certain guarantee in the form of immunity from widespread restructuring, and thus the termination of employment, and the current 2,300 employees will be under the direct management of the original company.

Proof that this is not unusual is, for example, the functioning of Embracer Group and its publishing parts such as THQ Nordic, Saber Interactive or Koch Media with the Deep Silver label. Even closer to the above situation is the events surrounding Codemasters, which Electronic Arts equally classifies under a new subsidiary – Codex Games. It was also established in order to facilitate the entire transaction and, like the actual operation of the Vault, will have no impact on the form or availability of games. And speaking of which – Microsoft still maintains last year’s position and nowhere officially comments on the extent to which ZeniMax’s new gaming portfolio will be exclusive to the Xbox.
